About the Role:

Grade Level (for internal use): 11

The Team: The Legal Team provides day-to-day legal support for the various shared services within S&P as well as commercial legal support for S&P’s Market Intelligence (financial services) group. We are a highly trusted and dynamic team that works in close partnership with the business to help drive maximum results.

Responsibilities and Impact:

You will be a key member of the S&P Market Intelligence legal team. You will be providing (1) commercial legal support with a focus on subscription-based software licenses and (2) DORA specific support to the team (including external client facing calls) in connection with a multitude of matters that may arise due to information security related regulations, including, but not limited to: DORA and EBA (material outsourcing). You will also be part of our escalation point for DORA related queries, assist with drafting appropriate DORA terms, negotiating the same with our clients and liaising with our information security teams affected by DORA.

Key responsibilities include:

  • Develop knowledge of multiple areas of the law to counsel internal clients on business and legal risks arising at all stages of the customer relationship, specifically deep knowledge of and familiarity with DORA regulation and EBA outsourcing guidelines.
  • Independently negotiate, draft and review a wide variety of commercial agreements, including technology related agreements, subscription-based software licenses and other commercial contracts, all in light of information technology best practices and regulations.
  • Support and advise product, sales and strategic alliances teams (with a primary focus on EMEA and Americas) and provide them with innovative legal and business solutions.
  • Identify, evaluate, and mitigate business and legal risk related to new product and business initiatives.

What We’re Looking For:

Basic Required Qualifications: You have excellent communication and drafting skills, are results driven, eager to learn and value making an impact to drive successful win-win negotiations in a collaborative work environment.

Key Qualifications and Skills:

  • 5+ years experience as a practicing lawyer / legal counsel with commercial, contracts, contractual and general legal experience from a law firm or in an in-house legal environment.
  • Experience in negotiating and drafting commercial and other business-to-business technology contracts, including subscription-based software licenses.
  • Knowledge of data and software licensing, intellectual property, and commercial contract law.
  • Fluent English.
  • Excellent written and verbal communications skills.

Additional Preferred Qualifications:

  • Ability to anticipate problems and find creative solutions.
  • Proven ability to work in a dynamic environment and manage a variety of commercial transactions and special projects simultaneously.
  • Experience with engineering, technology, or financial companies is a plus.
  • Proactive, enthusiastic, self-motivated team player.
  • Strong organizational skills.
